Rabanne’s Beauty Community Guidelines

The following Rabanne’s Beauty Community Guidelines are the terms and conditions (the “Program Terms”) that apply to any Rabanne Beauty Community Member (defined below) who participates in the Rabanne’s Beauty Community Program (the “Program”). To participate to the Program, Rabanne Beauty Community Members will also be required to fully consent to Duel’s Privacy Policy, Duel’s Terms of Service and Rabanne’s Privacy Policy (the “Additional Terms”).

Please review these Program Terms, which are legally binding and set forth the terms under which you may participate in the Program.

By participating in the Program, you confirm your unconditional acceptance of these Program Terms and the Additional Terms.

  1. Overview of the Program.

Rabanne (Puig France S.A.S, a French corporation, having its principal place of business at 65-67, Avenue des Champs Elysées, 75008 Paris (France), holder of Tax Identification Number B-64.797.129 and recorded with the Commercial Registry of Paris R.C.S. 682 030 507) uses the Duel Limited’s platform (“Duel”) to offer selected Rabanne Beauty Community Member (each, Member“” or ”you”) the opportunity to earn certain benefits in exchange for creating content about Rabanne or completing other identified tasks.

The prerequisites for taking part in the Program are as follows: you must (i) be 18+; (ii) have a public Instagram and TikTok account, (iii) have a minimum of 1,000 social media followers on at least on one (1) major social network (in particular Instagram or TikTok); (iv) be based in one (1) of the following countries: UK, France, Spain, Germany or Italy; and (v) not be an employee (or a member of an employee’s family) of Rabanne or any of its affiliates (the “Prerequisites”).

We reserve the right to verify at any time you meet the Prerequisites and to terminate immediately and without prior notice, simply by sending an e-mail, your Program membership if at any time we determine that you do not meet the Prerequisite.

We also reserve the right to amend the Prerequisites at any time in our sole discretion it being specified we will give you reasonable notice so that you have enough time to comply, if applicable.

You may be invited to participate in our Program, or you can apply at your own discretion. If you are invited to participate, you will need to sign-up and create an account on Duel.

The Program is limited to individuals only and is limited to one (1) Duel account per individual. You may not sub-license, transfer, sell or assign your membership in the Program to any third party.

Participation in the Program, or completing any given task, is entirely voluntary.

Notwithstanding compliance with the Prerequisites, selection for the Program is entirely within the discretion of Rabanne.

Upon completing your onboarding process, you will receive your initial reward within the Program.

Thereafter, you will have the opportunity to participate in a variety of task activities, including content creation, writing reviews, visiting stores, and numerous other engagement options. As you complete these activities, you will accumulate points that enable you to progress to higher tiers. At each advanced tier, you will be eligible for specific rewards based on your level of achievement within the Program.

Members must use #RabanneBeautyLovers, #RabanneMakeup, #Rabanneparfums & #Advertising or #Publicity across all Rabanne Beauty Community tasks and if applicable #VirtualImages if you use AI process.

Members can access account information on the Program Duel’s platform. This page will include details about your membership, which may include the tasks; your current activity; seasonal promotions and offers; how to redeem rewards. You represent and warrant that all information provided to become a Member and the password you create as a Member (the ”Member Information”) is accurate and up-to-date.

Rabanne will not be responsible if it attempts to provide notice to you of changes to the Program, or other information concerning the Program, but you do not receive it because of inaccuracies in your Member Information.

  1. General

Relationship of Parties. Nothing in these Program Terms shall create an employment relationship between Puig France S.A.S nor any of its affiliates and you. Member shall not be entitled to any Rabanne’s employee benefits of any nature. Member is not an agent or representative of Rabanne, and a Member has no authority to speak or act Rabanne in any manner except as expressly authorized by this Program Terms.  It is clearly understood that the Member will create content and perform tasks as an independent party, using their own resources and materials.

Communications. We may communicate with you regarding the Program via the dashboard of Duel and/or electronic communication. We are not responsible for communications lost due to change of address or other contact information.

Termination. Rabanne may immediately terminate the Program or terminate or suspend your membership and your access to the Program, at any time by sending you an email, for the following reasons:

  • You fail to post at least once on your social media channel within thirty (30) days after receiving your Rabanne Beauty Community product.
  • You do not meet the Prerequisites.
  • Your account is inactive for a period of three (3) months or longer.
  • You sell, transfer, license or assign your rewards, account, submissions, reward credits, loyalty points or any account rights (or attempt to do any of the same) to anyone other than yourself.
  • You fail to meet the Program expectations, which may include but is not limited to:
    • posting or submitting Content that is of low quality.
    • posting or submitting Content that doesn’t adhere to these Rabanne’s Beauty Community Guidelines.
    • posting or submitting Content that doesn’t meet the terms outlined by Rabanne.
    • posting or submitting Content that does not comply with the corresponding publicity or advertising regulations or any applicable laws.

Without prejudice to the foregoing, Rabanne may terminate the Program or terminate or suspend your membership and your access to the Program, for any reason and by sending you a simple e-mail, subject to giving you reasonable notice.

If your use of the Program is suspended or terminated, any information that you have stored will no longer be available to you. Rabanne may also terminate or change any incentive programs associated with the Program at any time, in its sole discretion, subject to reasonable notice. Acceptance into the Program does not guarantee the Member any specific number of program activity invitations, test products or incentives. If you violate any of these Program Terms or any other terms associated with the Program (including the Additional Terms) or any specific task, Rabanne will be entitled to immediately terminate your Program membership by simply sending you an email and may seek any other legal remedies resulting from your actions. Upon such termination, Members will have any outstanding incentives paid in accordance with the timeline described in these Program Terms.

Content Restrictions. You agree that all writings, profile information, photographs, material, information, suggestions, ideas, concepts, know-how, techniques, questions, comments or other communication or other materials (“Content”) that you submit in connection with the Program will not publicize any political slogans or homophobic language and more generally discriminatory content, incitement to adopt behavior detrimental to the environment protection, content causing physical, mental or moral harm to minors, images of a lewd or explicitly sexual nature, images containing logos of competitors and overt brand sponsorship or anything else deemed to be ambush marketing, or content which is defamatory, obscene, illegal, vulgar, offensive or otherwise unsuitable or infringes others’ rights (including intellectual property rights).

Content Intellectual Property License. In exchange for the opportunity to submit Content as a Rabanne’s Member, you grant, without further notice, compensation, consideration, consent, or approval, a perpetual (i.e., for the legal term of protection of the intellectual property rights concerned), worldwide, sublicensable, transferable, irrevocable, royalty- free license and right, but not the obligation, to use, edit, alter, copy, reproduce, disclose, display, publish, market, prepare derivative works from, perform, transmit, distribute, exhibit, broadcast, or otherwise exploit or develop the Content (including the Member's image rights, if the Member appears in the Content),, in whole or in part, and in any manner or use in media now known or devised in the future, for any or all commercial or non-commercial purposes (”Content License”) to Rabanne’s and its designees, representatives, successors, assigns, licensees, sublicensees, employees, third- party brand partners, and any person, corporation or entity acting under its permission or with its authority, or for whom it might be acting, including anyone distributing or disseminating communications by or regarding Rabanne or Puig France S.A.S.

You accept that any intellectual property rights, including products, marketing campaigns, copy, photographs or other materials used or created in connection with the Program remain the property of Puig France S.A.S.

Photograph Representations and Warranties. You affirm, represent and warrant that (i) any Content you submit as part of the Program is original; (ii) you own all right, title and interest to the Content and have the sole and exclusive right to assign or have the permission to grant all of the rights therein to Rabanne as set forth in these Program Terms (including Additional Terms if applicable); (iii) Rabanne’s use of the Content, in whole or in part, will not infringe upon or misappropriate the rights of any third party including, without limitation, any intellectual property or privacy rights; (iv) your uploaded photographs are (a) owned by you or you have obtained written permission from the photographer; and (b) your uploaded photographs are either you or you have obtained written permission from any other identifiable person named, photographed or otherwise depicted in the Content, to allow Rabanne or any of its designees, representatives, successors, assigns, licensees, sublicensees, employees, third- party brand partners to utilize the Content, including photographs, in the manner contemplated by the Program Terms (including Additional Terms if applicable) and Content without any notice, compensation, consideration, consent, or approval.

Indemnity. The Member agrees to indemnify, defend, and hold harmless Rabanne, Puig France S.A.S., and their respective affiliates, officers, directors, employees, agents, licensees, sublicensees, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • any third-party claims asserting infringement or violation of intellectual property rights, image rights, or other proprietary rights related to the Content;
  • any claims arising from the use, display, or exploitation of the Content by Rabanne or its designees;
  • any breach of warranties or representations made by the Member regarding the Content or related rights;
  • Any claims arising from employee reclassification, compensation, social security contributions, tax and whatsoever and
  • any other claims resulting from the Member’s submission of Content or from any actions taken by Rabanne or its designees in connection with the Content as permitted by this agreement.

The Member shall cooperate fully with the Indemnified Parties in the defense of any claim.

Confidentiality. Rabanne has a special relationship with its Members, and we rely on this trusted relationship, and you agree to maintain the confidentiality of information you receive as a Member. As a Member, you acknowledge that you may be given access to and obtain knowledge of Confidential Information (as defined below).

“Confidential Information’ means any non-public information or knowledge communicated at any time, orally, in writing or by inspections, relating directly or indirectly to the business or affairs of Rabanne, and in addition with respect to trade secrets, is any information meeting the criteria of a trade secret under applicable law.

You agree that you will not publicly post or otherwise disclose any Confidential Information you receive through your participation in the Program (except as expressly permitted herein) during your Program’s membership and for a period of five (5) years from the date of its termination for any reason whatsoever.

Limitation of Liability. To the extent permitted by applicable law, in no event shall Rabanne be liable for any damages of any kind arising out of or in connection with your participation in the Program, including damages arising out of changes to or termination of the Program.

Rabanne shall not be liable to you or any third party for any indirect, incidental, or consequential damages (including but not limited to lost profits or business opportunities), regardless of the legal theory, regardless of whether such damages were foreseeable, and regardless of whether Rabanne was advised of the possibility of such damages. These limitations of liability shall survive the termination of these Program Terms.

For purposes of this limitation of liability provision, Rabanne includes not only Rabanne but also its affiliates, predecessors, successors and assigns and each of their respective officers, directors, shareholders, associates, agents, licensors and suppliers.

Data Protection: To be part of the Program you consent to Rabanne’s Privacy Policy. When you enroll in the Program and provide us with your email address, you will be enrolled to receive marketing emails from Rabanne. You may unsubscribe from marketing emails at any time by clicking on the link found at the bottom of our marketing emails.

Even if you unsubscribe from Rabanne’s marketing emails, you will continue to receive relationship/operational emails related to the Program.

The Program is run through Duel, a third partner of Rabanne. To access Duel, you will have to review and consent to Duel's Privacy Policy. Any personal data provided to Duel will be governed by that Privacy Policy.

Governing Law. Any dispute under these Program Terms shall be exclusively governed by and construed in accordance with the laws of France.

The parties agree to submit to the commercial courts and tribunals of Paris.
